Role Summary
The Senior Corporate Counsel will serve as a key legal leader and advisor in a fast-paced public company environment, providing strategic and practical legal support across several functions, including Information Technology, Technology and Engineering, Commercial Contracts, Compliance Program Management, Policy Development, Intellectual Property Oversight, and Marketing. This role partners closely with cross-functional leadership to support business growth while ensuring compliance with public company obligations, regulatory requirements, and internal controls.
The Senior Corporate Counsel should have a proven track record of successfully working with senior leadership as a business partner while building trusting and effective relationships across the enterprise. There should be a bias for action, leadership competence, and a willingness to take strategic risks while challenging and collaborating in a respectful way. A partnership approach is critical. A confident presence who is professionally assertive, but a listener first. A credible communicator that gains the confidence of key stakeholders (internal and external).
Primary Responsibilities
- Advise on legal issues related to technology development, IT operations, SaaS, cloud services, data privacy, cybersecurity, AI, and digital transformation initiatives
- Counsel the Technology and IT teams on all legal matters
- Review and negotiate technology agreements, including software licenses, hosting agreements, data processing agreements, and professional services contracts
- Draft, review, and negotiate complex commercial agreements, including customer, vendor, licensing, reseller, and strategic partnership contracts
- Ensure contract terms align with business strategy, risk appetite, and public company disclosure and control requirements
- Develop and maintain contract templates, negotiation playbooks, and approval processes
- Manage/Lead the company’s Compliance Program. Including drafting and maintaining corporate policies and codes of conduct
- Support compliance training initiatives across the organization
- Oversee management of the company’s intellectual property portfolio, including trademarks, copyrights, and trade secrets
- Coordinate with outside counsel on IP filings, maintenance, enforcement, and disputes
- Advise business teams on IP risks related to product development, branding, and marketing
- Counsel the new product development team
- Review and advise on marketing, advertising, promotional materials, and public-facing communications
- Ensure compliance with advertising, consumer protection, privacy, and intellectual property laws
- Advise on brand usage, endorsements, and digital and social media initiatives
- Provide clear, business-focused, solution oriented legal guidance to senior leaders
- Manage outside counsel efficiently and in accordance with public company cost control requirements
Preferred Qualifications
- Juris Doctor (JD) from an accredited law school
- Active bar membership in good standing
- 10+ years of legal experience, with significant public company and/or in-house experience strongly preferred
- Experience supporting technology functions and transactions, commercial contracts, and compliance in a regulated or public company environment

- Broad legal skill set, open to new challenges, oriented towards solving problems, and demonstrated ability to work in a dynamic business environment
- Excellent organizational skills, outstanding analytical skills, meticulous attention to detail, and the desire and ability to take the initiative and collaborate effectively both with the business team and cross-functionally across departments
